How to change the address of a registered office?

The registered office is a place where all the business works, communications are held. The company not only has registered office in addition to it a corporate office, branch, factory or administrative office. If the registered office of the company is in India must be registered with the Ministry of Corporate Affairs, Any prior intimation to the ROC is not needed to open any branches and offices in same state. The process to change the registered office in the same is very simple.

Why is the registered office address important?

When the company is incorporated the address of the company is very important to declare and relevant documents are to be submitted. There are some documents that declare the address of the registered office while incorporating the company:

 Firstly the Electricity bill/Water bill/Property Tax Receipt
• If the place is rented the NOC of Landlord, is must.
• There should be an agreement of rent or lease between company and landlord.
The NOC certificate which is given by the landlord and the rental agreement should exactly match with the name and address of the electricity bill/water bill/property tax receipts. By filling the Form INC22 within 15days of incorporating a company the registered office of the company is declared.

If the changed address of the registered office is in the same area, village or town then it should be notified within 15days by relevant form filling.

If a company wants to change the address of registered office after a period of time, intimation must be given to the ROC with a notice .MCA provides a processes for the change in the registered office address that should be followed by the company as follows:

1. Office must be shifted within the same city
2. Office changes within the same state and ROC
3. Shifting of office to other ROC in the same state
4. Procedure to shift office from one state to another

Change in the registered office within the same city

The requirements for changing the office within the bond of same town, village, and city are as follows:


• A Board meeting should be arranged by the company first and pass the Board resolutions about the change in registered office.
• Form INC-22 must be filled to the ROC within the fifteen days after the resolution is passed.
There are some documents that should be attached while filling the Form INC-22
• Proof of utility bills sent to the office address which should not older than two month for business address proof.
• From the owner the NOC is given if the office is on leased/rented land.
• Rental agreement is the place is rented must be attached.
